Meetingofthe8thSessionoftheBoardofSupervisorsTheCompanyandallmembersofitsboardofsupervisorsherebyconfirmthatall

informationdisclosedhereinistrue,accurateandcompletewithnofalseor

misleadingstatementormaterialomission.

The8thMeetingofthe8thSessionoftheBoardofSupervisorsofADAMALtd.(hereinafterreferredtoasthe“Company”)washeldviaon-siteandvideoconferencemeetingonMarch19,2019followingnotificationstoallthesupervisorsbyphone.Threesupervisorswereentitledtoattendthemeetingandthreesupervisorsattended.

Themeetingcomplieswithallrelevantlaws,regulationsandtheArticlesofAssociationoftheCompany.Thefollowingresolutionsweredeliberatedandadopted:1.Proposalonthe2018WorkingReportoftheBoardofSupervisors

Thisproposalwaspassedwith3affirmativevotes,0negativevotesand0abstentions.

In2018,theBoardofSupervisorsoftheCompany(hereinafterreferredtoas“BOS”)strictlyabidedbythelaws,regulations,ArticlesofAssociationoftheCompany,andRulesofProceduresoftheBOStoperformtheFiduciaryanddiligenceduty,andgaveafullplaytoitsrole.

I.MeetingsintheReportingPeriod

Duringthereportingperiod,therewereeightBOSmeetings.

1.The15thmeetingofthe7thsessionoftheBOSonMarch1,2018approvedtheproposalsonthenominationofthemembersoftheBOS,theRulesofProceduresoftheBOS.



2.The1stmeetingofthe8thsessionoftheBOSonMarch19,2018electedthenewChairmanoftheBOS.

3.The2ndmeetingofthe8thsessionoftheBOSonMarch27,2018approvedthe2017BOSWorkingReport,the2017AnnualReportandotherfourproposals.

4.The3rdmeetingofthe8thsessionoftheBOSonApr26,2018approved2018Q1Reportandthechangeofaccountingpolicy.

5.The4thmeetingofthe8thsessionoftheBOSonJune7,2018approvedtheAmendmentstotheArticlesofAssociationoftheCompany,theremunerationofthememberoftheBOS.6.The5thmeetingofthe8thsessionoftheBOSonJune25,2018approvedtheutilizationofpartoftheraisedfundsforreplacingcapitalpreviouslyinvestedinthedesignatedprojects.
